Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Listify ("we", "our" or "us") governing your access to and use of the Listify website and all related services (collectively, the "Platform").

By accessing or using the Platform — whether by browsing, registering an account, posting a listing or contacting a seller — you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately stop using the Platform.

These Terms are governed by and shall be construed in accordance with the laws of the Republic of Zimbabwe, including but not limited to the Electronic Commerce and Electronic Signatures Act [Chapter 11:05].

To use the Platform you must:

• Be at least 18 years of age;
• Have the legal capacity to enter into a binding agreement under the laws of Zimbabwe (or your country of residence, where applicable);
• Not be prohibited from using the Platform under any applicable law; and
• Not have had a Listify account previously suspended or permanently banned for breach of these Terms.

By creating an account you represent and warrant that you meet all of the above requirements. Listify reserves the right to refuse registration or terminate accounts that do not comply.

To post listings or contact sellers you must register an account. When registering you agree to:

• Provide accurate, current and complete information;
• Maintain and promptly update your information if it changes;
• Keep your password confidential and not share it with any third party;
• Log out after each session on shared devices; and
• Notify us immediately via our Contact page if you suspect any unauthorised use of your account.

You are solely responsible for all activity conducted through your account. Listify shall not be liable for any loss or damage arising from your failure to maintain adequate account security.

Listify reserves the right to disable any account where we reasonably believe the account holder has violated these Terms or where the account poses a security risk to other users.

All listings posted on the Platform must:

• Describe a genuine item or property that you own or have the right to sell/let, located in or available for delivery within Zimbabwe;
• Contain accurate, truthful descriptions including any material defects;
• Display photographs that are genuine images of the actual item;
• State a genuine asking price in United States Dollars (USD) or Zimbabwe Gold (ZiG);
• Comply with all applicable Zimbabwe laws and regulations.

The following items and content are strictly prohibited on the Platform:

• Stolen goods or items of unknown provenance;
• Firearms, ammunition or weapons requiring a licence that the seller does not hold, contrary to the Firearms Act [Chapter 10:09];
• Controlled substances or drugs contrary to the Dangerous Drugs Act [Chapter 15:02];
• Foreign currency exchange services without a valid Reserve Bank of Zimbabwe licence;
• Unlicensed financial products, investment schemes or pyramid structures;
• Counterfeit, forged or replica goods;
• Adult content, explicit material or sexual services;
• Wildlife, endangered species or products derived therefrom contrary to the Parks and Wildlife Act [Chapter 20:14];
• Items subject to international trade sanctions applicable to Zimbabwe; and
• Any content that is defamatory, fraudulent, harassing or otherwise unlawful.

Listify reserves the right to remove any listing, without prior notice or refund, that we determine in our sole discretion violates these rules or poses a risk to the safety or integrity of the Platform.

When using the Platform, you agree not to:

• Post false, misleading or fraudulent listings or communications;
• Impersonate any person or entity or misrepresent your affiliation;
• Harass, threaten, abuse or intimidate other users;
• Use automated tools, bots, scrapers or crawlers to extract data from the Platform without our prior written consent;
• Attempt to circumvent, disable or interfere with any security features of the Platform;
• Introduce viruses, malware or any other harmful code contrary to the Cyber Security and Data Protection Act, 2021;
• Use the Platform for unsolicited commercial communications (spam); or
• Engage in any conduct that disrupts or degrades the experience of other users.

Listify operates solely as an online marketplace connecting buyers and sellers. We are not a party to any transaction between users and do not act as agent, broker, auctioneer or escrow for any transaction.

All negotiations, agreements on price or terms, payments, delivery, inspection and any post-sale obligations are exclusively between the buyer and seller. Listify assumes no responsibility for:

• The accuracy or quality of any listed item;
• A seller's legal title to the item being sold;
• The completion of any transaction; or
• Any loss, damage or fraud arising from a user-to-user transaction.

We strongly encourage all users to review our Safety Tips before transacting, including meeting in public and verifying the item before making payment.

Listify may display lender-configured finance products and help you prepare and transmit an application to the lender you select. Unless we expressly state otherwise, Listify is not the lender, does not provide financial advice, does not guarantee eligibility and does not make credit or approval decisions.

Calculator results are indicative estimates based on the vehicle price and parameters available at the time. They are not an offer, pre-approval, loan agreement or promise that finance will be granted. The lender may verify your information, request further documents, apply its own assessment and offer different final terms where permitted and disclosed.

Your application remains a private draft until you explicitly submit it. You are responsible for checking that applicant, affordability and guarantor information is accurate and that every guarantor has agreed to be contacted. Acknowledgements and application PDFs prove receipt or submission only; they do not prove that a loan has been approved.

Vehicle availability may change while an application is being considered. An "under offer" indicator is a warning and does not transfer ownership, reserve the vehicle indefinitely or replace the seller's and lender's required checks. Final finance, purchase, insurance, registration, clearance and security arrangements remain subject to the relevant agreements and law.

Free tier: You may post up to 3 active listings at no charge.

Paid plans: Subscription plans providing additional listing capacity and features are available at the rates set out on our Pricing page. Prices are stated in USD and paid manually for each billing cycle through PayNow.

Promotion credits: Bumps, featured placements and spotlight credits may be purchased individually or as part of a subscription plan.

Payment terms:

• Subscriptions auto-renew monthly. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• All fees are non-refundable except where required by applicable law, including the Consumer Protection Act [Chapter 14:44].
• Listify reserves the right to change prices on 30 days' written notice to existing subscribers.
• We are not responsible for any additional charges (e.g. foreign transaction fees) levied by your bank or card issuer.

Our intellectual property: The Listify name, logo, website design, software and all associated intellectual property are owned by or licensed to Listify and are protected by the Copyright and Neighbouring Rights Act [Chapter 26:05] of Zimbabwe and applicable international treaties. You may not copy, reproduce or use our IP without our prior written consent.

Your content: You retain ownership of all content (descriptions, photos, etc.) that you upload to the Platform. By posting content you grant Listify a non-exclusive, royalty-free, worldwide licence to:

• Display and distribute your content on the Platform;
• Create thumbnails or compressed versions of images for performance purposes; and
• Index your listings for search engine optimisation.

This licence terminates when you delete the relevant content or close your account, subject to reasonable cache and backup retention periods.

Listify actively monitors the Platform for violations of these Terms. We may, without notice, remove content that we consider to violate these Terms, applicable law or community standards.

Intellectual property infringement claims: If you believe that your intellectual property rights have been infringed by content on the Platform, please contact us via our Contact page with:

• A description of the work you believe has been infringed;
• A link to the infringing listing on Listify;
• Your contact details and a statement confirming your good-faith belief; and
• A declaration that the information is accurate and you are the rights holder.

We will investigate promptly and remove content found to be infringing. Repeat infringers will have their accounts terminated.

Counter-notice: If you believe content was removed in error, you may submit a counter-notice with supporting evidence to the same email address.

To the fullest extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to:

• Accuracy, completeness or currency of any listing or user-generated content;
• Fitness for a particular purpose;
• Uninterrupted or error-free operation; or
• Freedom from viruses or other harmful components.

We do not verify the identity of users, the ownership of listed items or the accuracy of listing descriptions. Use the Platform at your own risk.

To the fullest extent permitted by law, Listify, its directors, employees and agents shall not be liable for:

• Any indirect, incidental, special, consequential or punitive damages, including loss of profit, data or goodwill;
• Any loss or damage arising from a transaction between users (whether or not facilitated through the Platform);
• Any unauthorised access to or alteration of your account or data; or
• Any third-party content posted on the Platform.

Where liability cannot be excluded by law, our aggregate liability for any claim arising from your use of the Platform shall not exceed the total subscription and credit fees paid by you to Listify in the three (3) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend and hold harmless Listify and its directors, employees and agents from and against any claims, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Platform in breach of these Terms;
• Content you post on the Platform;
• Any transaction you enter into with another user; or
• Your violation of any applicable law or third-party right.

Listify shall not be liable for any delay in or failure to perform its obligations under these Terms to the extent that such delay or failure results from events beyond our reasonable control, including but not limited to:

• Electricity load-shedding or ZESA grid instability;
• Internet or telecommunications outages;
• Acts of government, including regulatory restrictions or foreign exchange controls imposed by the Reserve Bank of Zimbabwe;
• Civil unrest, political instability or natural disasters;
• Cyberattacks on our infrastructure or third-party service providers; and
• Pandemic, epidemic or public health emergency declared by competent authorities.

We will use reasonable efforts to minimise disruption and resume normal service as soon as practicable.

In the event of any dispute arising from or relating to these Terms or your use of the Platform, the parties agree to attempt resolution using the following process:

1. Informal resolution: Contact us via our Contact page describing the dispute. We will respond within 14 business days and attempt to resolve the matter informally.
2. Mediation: If the dispute is not resolved within 30 calendar days of the initial notice, either party may refer the matter to mediation before a mutually agreed mediator in Harare, Zimbabwe.
3. Arbitration: If mediation fails or is refused, the dispute shall be finally resolved by arbitration in Harare in accordance with the Arbitration Act [Chapter 7:15] of Zimbabwe. The arbitral award shall be final and binding on the parties.

Nothing in this clause prevents either party from seeking urgent interlocutory relief from the High Court of Zimbabwe where necessary.

These Terms are governed by and construed in accordance with the laws of the Republic of Zimbabwe. Subject to the dispute resolution process in clause 14, you irrevocably submit to the exclusive jurisdiction of the High Court of Zimbabwe sitting in Harare for the resolution of any dispute not resolved by arbitration.

Listify reserves the right to amend these Terms at any time. For material changes (those that significantly affect your rights or obligations) we will:

• Post the updated Terms at listify.co.zw/terms; and
• Give you at least 14 calendar days' notice by email or in-app notification.

Non-material changes (such as clarifications or formatting corrections) take effect immediately upon posting. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms.
